Terms of Service

These terms are an agreement between you and Escalate LLC (“we”, “us”), which operates SmartReelz. By creating an account or using smartreelz.app, the SmartReelz Studio, or SmartReelz Desktop (together, the “Service”), you agree to them. If you use the Service for an organization, you agree on its behalf and confirm you are authorized to.

1. Your account

You need to be at least 16 and give accurate account information. You are responsible for what happens under your account and for keeping your sign-in secure. Tell us promptly at support@smartreelz.app if you think someone else has access to it.

2. Apps you point SmartReelz at

SmartReelz operates a real browser against the address you give it: it visits pages, clicks, types, and records what happens. You may only use it on apps and sites that you own or are authorized to access, automate, and record. In particular, you agree not to use the Service:

• against a site whose terms prohibit automated access or recording, or without its owner’s permission;
• to get around authentication, rate limits, or other access controls;
• to capture other people’s personal data without a lawful basis — use test accounts and test data where you can;
• to load-test, scrape, or attack any system; or
• to make content that is unlawful, infringing, deceptive, or harmful.

You are responsible for the app you demo and for actions the Service takes there on your instructions. Prefer a staging environment and test credentials, since the Service can create, change, or submit data in the app exactly as a person would.

3. Your content

You keep all rights to what you bring to the Service (briefs, branding, answers, and what is captured from your app) and to the videos, scripts, narration, and other output it produces for you. You give us a limited license to host, process, and transmit that content only as needed to provide the Service to you, including sending it to the AI and speech providers listed in our Privacy Policy. You confirm you have the rights needed for us to do so.

4. AI-generated output

Scripts, narration, voiceover, and edits are generated by AI models and can be wrong. Review a demo before you publish it. You are responsible for how you use the output, including any claims it makes about your product.

5. Plans, billing, and cancellation

• Subscriptions are billed monthly in advance through Stripe and renew automatically until cancelled. Prices and allowances are shown when you subscribe.
• A demo counts against your allowance when it is first delivered — its first successful render — not when you start it. A demo that fails or is blocked is never counted, and re-recording, re-rendering, or correcting a delivered demo does not count again.
• Allowances limit starting new demo work; demos already in progress can always finish. Unused allowance does not roll over to the next billing period.
• Extra demo packs are one-time purchases that add demos to the current billing period only. Demos from a pack that are unused when the period ends, or when the subscription is cancelled, expire and are not refunded.
• The free plan is a one-time allowance, not a monthly one, and its videos carry a SmartReelz watermark.
• Promotion codes apply on the terms stated with them (for example, a number of free months). When a promotional period ends, the subscription continues at the regular price unless you cancel.
• Cancel any time from billing settings. Cancellation takes effect at the end of the current billing period, and you keep access until then. Payments already made are non-refundable except where the law requires otherwise.
• Price changes take effect at your next renewal, and we will email you before they do.

6. Acceptable use of the Service itself

Do not attempt to break, overload, or reverse-engineer the Service; access another user’s data; resell the Service without our agreement; or use it to build a competing product. SmartReelz’s source code is published under the PolyForm Noncommercial License 1.0.0, which governs the code separately from these terms.

7. Suspension and termination

You can stop using the Service and ask us to delete your account at any time. We may suspend or close an account that breaks these terms or puts the Service or others at risk; where it is reasonable to, we will tell you first and give you a chance to fix it. Sections 4, 8, 9, 10, and 12 survive termination.

8. Disclaimers

The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free, or that every demo will record successfully.

9. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or US$100 if greater.

10. Indemnity

You will defend and indemnify us against third-party claims arising from your content, the apps you point the Service at, or your breach of these terms.

11. Changes to these terms

We may update these terms. We will change the effective date above and, for material changes, email account holders at least 14 days before they take effect. Continuing to use the Service after that means you accept the new terms.

12. Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in New York County, New York, and both parties consent to their jurisdiction.
